On September 13th, Robert Anello appeared on the Korean news channel Airing News Center as a legal analyst discussing the Elizabeth Holmes trial. Partners Robert J. Anello and Brian A. Jacobs Publish Two Chapters in Law Journal Press Treatise Entitled “White Collar Crime: Business and Regulatory Offenses.”

NEW YORK, May 14, 2021 – Morvillo Abramowitz partners Robert J. Anello and Brian A. Jacobs collaborated to update Chapter 12, Securities Fraud, and Chapter 12A, Insider Trading, in Law Journal Press’ treatise entitled, White Collar Crime: Business and Regulatory Offenses. The update to Chapter 12 addresses SEC enforcement actions arising from spoofing-­related activity and SEC guidance on the factors that determine whether cryptocurrency and digital assets are securities under the federal securities laws. The chapter also discusses Liu v. SEC, in which the Supreme Court upheld disgorgement of illicit gains as an equitable remedy in SEC enforcement actions, but considered whether such a disgorgement award may exceed a wrongdoer’s net profits. The update to Chapter 12A addresses the latest developments in the case of United States v. Blaszczak, in which the Second Circuit in late 2019 considered whether 18 U.S.C. § 1348 requires the government to prove the breach of a duty of confidence in exchange for a personal benefit. In January 2021, the Supreme Court vacated the Second Circuit’s opinion and remanded for further consideration in light of Kelly v. United States, the “Bridgegate” case relating to what qualifies as “property.” Although the Supreme Court’s vacatur in Blaszczak did not relate to the Second Circuit’s personal­ benefit holding, the Supreme Court’s actions created uncertainty as to the degree to which Blaszczak’s personal­ benefit holding remains good law.

The Appellate Division of the Supreme Court, First Judicial Department Appoints Partner Robert J. Anello as Chairperson of the Attorney Grievance Committees

NEW YORK, October 1, 2019 – Morvillo Abramowitz partner Robert J. Anello has been appointed by the Appellate Division of the Supreme Court, First Judicial Department as the new Chairperson of the Attorney Grievance Committees, effective October 1, 2019. The Attorney Grievance Committees, formerly known as the Departmental Disciplinary Committee, were established by the Joint Rules of the Departments of the Appellate Division (22 NYCRR Part 1240) and the First Department’s local rules to investigate complaints of professional misconduct by attorneys. Along with Abigail Reardon, Bob will serve a three-year term.

Upon announcing the appointments, Presiding Justice Rolando T. Acosta said, “The Court is grateful that Ms. Reardon and Mr. Anello have agreed to serve as chairs of the Attorney Grievance Committees and has every confidence that they will continue to serve the public and the bar honorably.”

Morvillo Abramowitz Successfully Represents Absolute Capital Management's Former Founder, Chairman, and Chief Executive Officer, Sean Ewing, In Getting All Charges Dismissed

NEW YORK, July 11, 2017 – All charges pending against Sean Ewing were dismissed by the Honorable John A. Kronstadt of the Central District of California. Mr. Ewing’s representation was spearheaded by Robert J. Anello, Judith L. Mogul, and Peter Janowski. The result is an unqualified victory for Mr. Ewing, who, among others, had been the subject of an investigation by the government into the fraudulent market manipulation committed by Florian Homm, the former Chief Investment Officer of Absolute Capital Management, a $3.25 billion investment management company. Mr. Ewing had founded ACM and built it through his acquisition of Homm’s investment business and other businesses, including Argo Capital Management. He also served as its Chairman of the Board and CEO. The dismissed charges were books and records violations that did not contain any allegations of fraud or intent to deceive on the part of Mr. Ewing. Those charges have now been dismissed. Additionally, last year, a resolution was reached resulting in the dismissal of all charges in a civil case pending against Mr. Ewing in the Southern District of New York and of forfeiture proceedings in the Central District of California. These resolutions have vindicated Mr. Ewing from any allegation that he could or had been involved with Florian Homm’s fraud.

Morvillo Abramowitz Partners Robert J. Anello and Brian A. Jacobs and Associate Devin M. Cain Successfully Represent Foreign National in DOJ Indictment

NEW YORK, July 14, 2016 – Partners Robert J. Anello and Brian A. Jacobs, and associate Devin M. Cain represented Su Bin, a foreign national, in connection with his indictment by the DOJ relating to allegations of theft of military contractor trade secrets. As a result of the firm’s representation, the team was able to broker a plea deal while the client was being held in Canada awaiting extradition. The client, who was indicted on six counts where one of the substantive charges carried a 20-year maximum and another carried a 10-year maximum, pleaded guilty only to a one-count conspiracy information which capped the prison exposure at five years. The client was sentenced to a term about 20% less than what the government asked for and probation had recommended, after the court agreed to a variance based on arguments concerning the client’s extraordinary acceptance of responsibility and generosity throughout his life.

Morvillo Abramowitz Partner Robert J. Anello Represents Supervisory Board of VimpelCom Ltd. in one of the Largest FCPA Investigations in U.S. History

NEW YORK, February 18, 2016—Amsterdam-based telecommunications company VimpelCom, Ltd. today announced the resolution of potential charges under the Foreign Corrupt Practices Act with the United States Department of Justice and the United States Securities and Exchange Commission, and resolution of potential charges under Dutch anti-corruption law with the Dutch Public Prosecutor’s Office. Under the three resolutions, which were negotiated separately but which comprised a global termination of investigation into the alleged conduct, VimpelCom agreed to pay a total of $795 million in penalties and disgorgement to be divided among the three agencies. VimpelCom and its subsidiary, Unitel, were alleged to have made improper payments to a government official in Uzbekistan in connection with VimpelCom’s entry into in the Uzbekistan mobile telecommunications market in 2006. The FCPA investigation and subsequent settlement has been widely referred to as one of the largest in U.S. history. The Supervisory Board of VimpelCom Ltd. was advised by a team led by partner Robert J. Anello, including partner Jeremy H. Morvillo Abramowitz Obtains Federal Injunction Halting Pursuit of State Claims Arising from Hedge Fund Fraud

A Morvillo Abramowitz team led by Robert J. Anello, along with Jodi Misher Peikin, Sidhardha Kamaraju and Sean Nuttall, obtained an injunction preventing disgruntled investors in an independent defunct hedge fund from pursuing claims against Banc of America Securities. Investors who had been defrauded by the perpetrators of one of the largest securities frauds in Florida history filed several lawsuits against prime broker Banc of America Securities in both state and federal court, seeking to recover losses caused by the convicted hedge fund operators. In 2007, the Morvillo Abramowitz team successfully obtained the dismissal of the investors' claims in the United States District Court for the Southern District of Florida. The Eleventh Circuit affirmed that decision in 2010, in a significant ruling for prime brokers. While the Eleventh Circuit was considering the appeal, however, the investors commenced yet another lawsuit in Florida state court against Banc of America Securities, asserting the same essential claims. Invoking the All Writs Act and the Anti-Injunction Act, Morvillo Abramowitz successfully persuaded the District Court to protect its previous judgment and the judgment entered by the Eleventh Circuit by permanently enjoining the investors from pursuing claims against Banc of America Securities.

Robert Anello Elected President of the Federal Bar Council

On Tuesday, October 23, 2012 Morvillo Abramowitz Partner Robert Anello was elected President of the Federal Bar Council. Mr. Anello, who will serve a two year term, was inducted on Wednesday, November 21, 2012 at the Federal Bar Council’s Annual Thanksgiving Luncheon. Most recently Mr. Anello served as President-Elect of the Federal Bar Council and served on its Executive Committee.

Founded in 1932, the Federal Bar Council is comprised of more than 3,700 lawyers who practice in the federal courts of the Second Circuit. SCOTUS and the Statute of Limitations in SEC Enforcement Actions

On Tuesday September 25, 2012 the U.S. Supreme Court agreed to consider an appeal by fund manager Marc Gabelli, who accused the U.S. Securities and Exchange Commission of waiting too long to bring a civil case accusing him of letting a client engage in so-called market timing. In U.S. Top Court to Hear Marc Gabelli Appeal in SEC Case, Thomson Reuters notes that, "The case hinges on the question of when the statute of limitations clock begins to tick." Morvillo Abramowitz Partner Robert Anello, who wrote a NYLJ article on the statute of limitations in SEC enforcement actions, is quoted in this article.

Second Circuit Agrees with Morvillo Abramowitz in Appeal Setting the Standards for Application of the Securities Exchange Act to Off-Market Transactions

On March 1, 2012, the United States Court of Appeals for the Second Circuit agreed with Morvillo Abramowitz in a precedent setting case applying the Supreme Court’s decision in Morrison v. National Australia Bank Ltd., which limited the extraterritorial reach of the Securities Exchange Act of 1934. In Absolute Activist Value Master Fund Ltd., v. Ficeto,--- F.3d ----, 2012 WL 661771 (2d Cir. Mar. 1, 2012), the Second Circuit affirmed the dismissal of all claims brought by nine Cayman Islands hedge funds against former officers and directors of investment manger Absolute Capital Management Holdings Ltd., and its broker-dealer, for losses from an alleged scheme involving stocks in small-cap United States companies. Morvillo Abramowitz Partner Robert J. Anello was lead counsel before the district court and argued the Second Circuit appeal on behalf of Sean Ewing, the former Chairman and Chief Executive Officer at Absolute Capital Management. 

In its decision, the Second Circuit explained that in order to allege sufficiently the existence of a “domestic transaction” in an off-market securities transaction after Morrison, a plaintiff must allege facts suggesting that either “irrevocable liability was incurred or title transferred within the United States.” After reviewing the sixty-one page complaint, the Second Circuit found the allegations in this regard insufficient, but remanded to the district court to provide the plaintiffs an opportunity to re-plead. The Second Circuit directed the district court on remand also to consider alternate arguments for dismissing the case, including failure to state a claim, expiration of the statute of limitations, and lack of personal jurisdiction. Morvillo Abramowitz lawyers Judith L. Mogul and Eli J. Mark also represent Mr. Ewing in this matter.

Morvillo Abramowitz Successfully Defends Private Wealth Management Company in Madoff-Related Litigation

On March 2, 2011, Morvillo Abramowitz, led by Partners Robert J. Anello and Judith L. Mogul, won the dismissal of all claims against a well-regarded private wealth management company brought by three former investors in Westchester County Supreme Court. The private wealth management company had provided the investors with decades of outstanding, long-term investment management services, earning the primary investor millions in profit. In the wake of the general financial downturn in 2008 and Bernard Madoff’s now-infamous fraud, the investors sought to hold the wealth management company liable for the reduction in their portfolios’ profits, including for losses that the primary investor sustained in two indirect investments in Madoff feeder funds. 

The principal investor had previously brought and lost an arbitration before the Financial Industry Regulatory Authority (“FINRA”) against a number of entities and individuals related to the wealth management company. In the subsequent New York State-court action, the judge accepted the argument advanced by Morvillo Abramowitz that the FINRA arbitration precluded relitigation of the primary investor’s claims. The court held that the plaintiff “cannot pursue the same claims in another forum against the same parties or their privi[ti]es.” It dismissed all claims against the private wealth management company by the investor with prejudice. The court also dismissed with prejudice the fraud claims brought by the remaining two plaintiffs who were not parties to the arbitration, and also dismissed without prejudice negligence and breach of fiduciary duty claims by the same plaintiffs.

Robert J. Anello Honored by the New York County Lawyers’ Association and Thomson West

Morvillo Abramowitz Partner Robert J. Anello was among a group of distinguished authors who were honored on November 15, 2010 by the New York County Lawyers’ Association and Thomson West for their contributions to the recently published Third Edition of Commercial Litigation in New York State Courts. Mr. Anello authored a chapter on White Collar Crime, which is a new addition to the six-volume treatise. Commercial Litigation in New York State Courts is widely recognized as a leading resource on procedural and substantive legal issues in New York commercial litigation. In a review of the treatise published in the New York Law Journal on November 22, 2010, Thomas E. Mercure wrote:

"Given that parallel civil and criminal proceedings in business matters are increasingly common, the chapter on white collar crime and on the interplay between commercial litigation and criminal proceedings are particularly valuable. Both chapters are strategically focused, providing practical advice on the issues such as immunity, privileged materials, protective orders and the interplay between civil damages and criminal restitution."

In his chapter, “White Collar Crimes in the New York State System,” Mr. Anello provides an overview of New York criminal statutes and case law relied upon in the prosecution of crimes related to commercial litigation, the investigative bodies which prosecute such white collar crime, the criminal trial process in New York State, and how New York’s system differs from the federal system.

Eleventh Circuit Issues Important Decision for Prime Brokerage Industry

In an important decision for prime brokers, on March 25, 2010, a panel of the Eleventh Circuit Court of Appeals affirmed the district court’s dismissal with prejudice of a complaint against our client, Banc of America Securities LLC, in SFM Holdings, Ltd. v. Banc of America Securities, LLC, ---- F.3d -----, 2010 WL 1068230 (11th Cir. 2010). Partner Robert J. Anello was lead counsel before the district court and argued the Eleventh Circuit appeal on behalf of Banc of America. The appellant, SFM Holdings, Ltd., was one of nearly 200 hundred investors defrauded by corrupt investment advisors at Shoreland Trading; as part of its arrangement with Shoreland, SFM had opened a prime brokerage account with Banc of America. A central issue on appeal was SFM's claim that Banc of America owed (and breached) a fiduciary duty to SFM based on the agreements entered into by SFM to open its account and Banc of America's role as a prime broker. Accepting our arguments, the panel affirmed the district court's judgment, holding that the governing account documents specifically precluded imposition of a fiduciary duty on the bank. Notably, the majority also explained that traditionally, it is the introducing brokers—those brokers who have a relationship with and provide investment advice to the client—that assume a fiduciary duty to the client; the prime or executing broker—the broker who merely executes securities transactions at the direction of the client or introducing broker—normally does not owe such a duty.
